END USER LICENSE AGREEMENT

IMPORTANT – READ CAREFULLY: This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you and the Developer ("we", "us", or "our") for the FluxFS software product ("Software").

1. Agreement and Acceptance

By downloading, installing, or using the Software, you agree to be bound by the terms of this EULA. This Agreement governs your use of the Software in both its base and upgraded states. Your use of the Software is also subject to our Terms of Service (available at https://fluxfs.com/terms) and our Privacy Policy (available at https://fluxfs.com/privacy).

2. Definitions

  • Software: The core application provided by the Developer, including any updates or documentation.
  • Upgraded Features: Additional functionality within the Software unlocked exclusively via a valid License Key.
  • License Key: The unique alphanumeric string or digital token issued by the Developer to authenticate and activate Upgraded Features.
  • Base State: The version of the Software operating without a valid License Key, possessing limited functionality.

3. Grant of License

3.1 License Grant

Subject to your continuous compliance with this Agreement, the Developer grants you a limited, personal, non-exclusive, non-transferable, and revocable license to install and use the Software's base features.

3.2 Upgraded Features

Applying a valid License Key unlocks the Upgraded Features. The rights, restrictions, and obligations outlined in this Agreement apply identically to the Software in both its base and unlocked states.

4. License Key Management

4.1 Issuance and Activation

Upon payment of the applicable fee, you will receive a License Key. You are solely responsible for maintaining its confidentiality and security.

4.2 Transfer of License (Device Only)

The License Key is strictly non-transferable to any other user, entity, or third party. You may transfer your License Key to an alternate device that you own. All device transfers must be executed exclusively through the official license management portal located at fluxfs.com.

  • Process: To complete a device transfer, the License Key must be actively deactivated on the original device prior to reassignment.
  • Prohibition: Any attempt to transfer, sell, assign, or trade the License Key to another individual, or execute a device transfer outside of the fluxfs.com portal, is strictly prohibited and renders the License Key immediately void.

4.3 Revocation

We reserve the right to immediately revoke, suspend, or disable your License Key without prior notice or liability for any of the following:

  • A payment chargeback, fraud, or failure to process the initial upgrade fee.
  • Unauthorized public sharing, publishing, or distribution of the License Key.
  • Attempts to bypass, alter, reverse-engineer, or circumvent the licensing manager and transfer mechanics.
  • Any other material breach of this Agreement.

4.4 Validation and Telemetry

The Software requires an internet connection to periodically connect to our servers to validate the License Key status via your hardware ID. If the License Key is flagged as revoked, illegally transferred, or invalid, the Software will automatically revert to its base state.

5. Privacy and Data Collection

The Software operates locally. Your files remain on your device and are not uploaded to our servers. We collect specific data only in the following scenarios:

  • License Validation: We collect and verify your hardware ID against our servers to authenticate your License Key.
  • Bug Reports: If you choose to submit a bug report, you may manually consent to share diagnostic information, which includes a snippet of your latest service log.

6. Restrictions on Use

You shall not, and shall not permit any third party to:

  • Prohibited Actions: Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
  • Key Sharing: Distribute, publish, lease, rent, or sell the License Key to any other user.
  • Circumvention: Bypass the license manager, tamper with the upgrade mechanism, or defeat any digital rights management built into the Software.
  • Compliance with Local Laws: Use the Software for any unlawful purpose. You must verify the legality of this Software in your specific jurisdiction prior to installation and use.

7. Intellectual Property Rights

The Software is licensed, not sold. The Developer retains all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights.

8. Updates and Support

  • Base Software: The Developer provides the base features "as is." No formal technical support, maintenance, or updates are guaranteed.
  • Upgraded Features: Users maintaining a valid, unrevoked License Key are entitled to updates and technical support as specified at the time of purchase.

9. Term and Termination

This EULA is effective from the date you first use the Software and continues until terminated. It terminates immediately if you fail to comply with any term. Upon termination, you must cease all use of the Software, and your License Key will be revoked. Sections 5, 6, 7, 10, and 11 survive termination.

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE DEVELOPER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

11. Limitation of Liability

To the maximum extent permitted by applicable law, the Developer's total cumulative liability arising from or related to this Agreement shall not exceed the actual amount paid by you for the License Key. You acknowledge and agree that you are solely responsible for how you use the Software. The Developer disclaims all liability for any claims, damages, legal violations, or consequences arising directly or indirectly from your use or misuse of the Software.

12. General Provisions

  • Governing Law: This EULA shall be governed by and construed in accordance with the laws of Louisiana, United States, excluding its conflicts of law rules.
  • Severability: If any provision of this EULA is held to be void or unenforceable, the remaining provisions continue in full force and effect.
  • Entire Agreement: This EULA, alongside the Terms of Service and Privacy Policy, constitutes the entire agreement between you and the Developer relating to the Software.
